The most common way to conduct business activities is through the registration of a company, mainly an LLC. The appropriateness of conducting business activities through LLC registration is primarily due to the legislative possibility of limited liability. Unlike individual entrepreneurship registration, the founder of a company does not put their personal property at risk in case of losses. The company is established through obtaining state registration. An application to 'open a firm' or register an LLC can be submitted either in person or through a representative, such as an employee of a legal office. The company acts in its own name, has property attached to it by ownership rights, and is only liable with that property. From the moment of obtaining state registration, the company acquires rights and assumes obligations.
To register a firm, it is necessary to determine the company name, the list of participants or owners, the company director, the registration address, and the amount of authorized capital. When choosing a company name, attention should be paid to the possible existence of a trademark registered with the corresponding word, which may later cause legal issues. The company name can be any name, provided it has not already been registered. Subsequently, alongside the company's development, it is also necessary to undertake the registration of a trademark or brand. Trademark registration provides more advanced legal protection for distinguishing the company's products and services in the market and building consumer trust.
The choice of the company's address is determined by the possibility of receiving relevant notifications, as well as the choice of the administrative district, which accordingly selects the tax service where the company is registered.
The company's tax registration is carried out through an automated system from the moment of the company's state registration, and it is no longer required to visit the tax inspectorate for the purpose of tax registration. For the registration of the company's address, it is also not required to provide documents confirming the relevant rights, such as ownership or lease certificates; that is, the registration is carried out based on a declaration.
The registration is carried out by the staff of the Ministry of Justice of the Republic of Armenia's Agency for State Registration of Legal Entities (hereinafter referred to as the Agency). Moreover, for the registration of commercial legal entities, the application can be submitted to any service office of the Agency, regardless of the location of the legal entity's activities, while the registration of non-commercial legal entities is carried out by the Agency's service office in Yerevan.
